1. About these Terms

These Terms of Use govern access to and use of the WorkCircuit website, web application and related services (together, WorkCircuit, the Platform or the Service).

By creating an account, accessing the Platform, accepting these Terms or otherwise using WorkCircuit, you agree to be bound by these Terms.

If you do not agree to these Terms, you must not use WorkCircuit.

WorkCircuit is operated by the legal operator identified above. WorkCircuit is a business name and is not, by itself, a separate legal entity.

These Terms apply together with the WorkCircuit Privacy Policy and WorkCircuit Marketplace Rules, which form part of the rules governing use of the Platform.

2. Who these Terms apply to

WorkCircuit is intended for businesses operating in Australia, including sole traders and other businesses that lawfully provide or obtain commercial services.

A person using WorkCircuit on behalf of a business represents that they are authorised to do so.

You must provide information that is accurate, current and not misleading.

You are responsible for ensuring that your use of WorkCircuit complies with laws applicable to you and your business.

3. Definitions

In these Terms:

Account means an account registered to use WorkCircuit.

Business means a business, sole trader or other lawful commercial operator using WorkCircuit.

Business Profile means the business information displayed or maintained through WorkCircuit.

Business Passport means the area of a Business Profile that may display business-supplied information, reputation information and any verification-related status actually recorded through an available WorkCircuit process.

Capacity Listing means a listing published by a Business describing services, availability or other capacity it may have available for work.

Connection means a WorkCircuit connection between Businesses following an accepted connection request.

Engagement means a WorkCircuit record of agreed work between Businesses following an accepted Connection.

Opportunity or Work Opportunity means a listing published by a Business describing work it has available or needs assistance delivering.

Platform means WorkCircuit and its related website, web application, systems and services.

Review means feedback submitted by an eligible Business about another Business following a qualifying completed WorkCircuit Engagement.

User Content means information, text, photographs, logos, documents, messages, reviews and other material submitted to WorkCircuit by a user.

4. WorkCircuit’s role

WorkCircuit operates as a business-to-business marketplace and connection platform.

WorkCircuit may provide tools that allow Businesses to:

  • create Business Profiles;
  • publish Work Opportunities;
  • publish Capacity Listings;
  • discover potentially compatible Businesses;
  • request and accept Connections;
  • communicate through WorkCircuit;
  • record agreed work through Engagements;
  • record completion of Engagements;
  • provide Reviews following eligible completed Engagements; and
  • manage certain marketplace reports, moderation matters and account restrictions.

WorkCircuit does not itself perform the work advertised by Businesses.

WorkCircuit does not employ Businesses or their workers.

WorkCircuit does not act as an employer, labour-hire provider, recruitment agency, contractor, subcontractor, agent, partner, insurer, project manager, payment provider or representative of a Business merely because that Business uses the Platform.

WorkCircuit does not guarantee that any Business will obtain work, find suitable capacity, receive payment, complete work successfully or achieve any particular commercial outcome.

5. Separate agreements between Businesses

Any commercial agreement for work is between the Businesses involved.

Businesses are responsible for determining and documenting their own commercial arrangements, including where applicable:

  • scope of work;
  • price;
  • payment terms;
  • timing;
  • deliverables;
  • variations;
  • licences;
  • insurance;
  • workplace obligations;
  • subcontracting arrangements;
  • taxation;
  • safety requirements; and
  • any written contract between them.

A WorkCircuit Engagement record does not itself make WorkCircuit a party to the commercial agreement between Businesses.

WorkCircuit does not approve, guarantee or enforce commercial agreements between Businesses.

6. Independent assessment of Businesses

Each Business is responsible for independently assessing another Business before entering into an arrangement.

This may include considering:

  • Business Profile information;
  • services and experience;
  • location and service area;
  • availability;
  • crew and equipment;
  • licences or accreditations;
  • insurance;
  • Reviews and reputation information;
  • information supplied directly by the other Business; and
  • any information independently obtained by the Business.

WorkCircuit does not guarantee that information supplied by a Business is accurate, complete, current or suitable for a particular engagement.

A Business must not treat a WorkCircuit profile, listing, Review or reputation information as a substitute for its own assessment.

7. Business Profiles

Businesses may create profiles containing information such as:

  • business name;
  • description;
  • services;
  • service areas;
  • industries;
  • crew information;
  • equipment;
  • availability;
  • business experience;
  • website or social links;
  • public business media; and
  • other information made available through WorkCircuit.

Businesses are responsible for the information they submit.

Businesses must not impersonate another Business or person, create misleading profiles or use another person’s information without appropriate authority.

Private contact information is not intended to be publicly displayed through the marketplace merely because it has been supplied to WorkCircuit.

8. Work Opportunities

A Business may publish a Work Opportunity describing work it has available or needs assistance delivering.

Work Opportunities may contain information such as:

  • title;
  • description or scope;
  • service category;
  • location or service area;
  • expected work start date;
  • frequency;
  • crew requirements;
  • equipment requirements;
  • licence or insurance requirements;
  • job size;
  • preferred industries;
  • optional budget information; and
  • photographs or other attachments.

The Business publishing an Opportunity is responsible for ensuring that the information is accurate and does not materially mislead other Businesses.

A Work Start date describes when the work is expected to begin. It does not, by itself, cause a listing to expire.

Published listings may be subject to WorkCircuit’s separate listing lifecycle and expiry processes.

9. Capacity Listings

A Business may publish a Capacity Listing describing available services or capacity.

Capacity Listings may contain information such as:

  • listing title;
  • services;
  • locations or service areas;
  • available-from date;
  • availability;
  • crew size;
  • equipment;
  • licences or accreditations;
  • insurance information;
  • industries served;
  • one-off or ongoing availability; and
  • photographs or other attachments.

An Available From date describes when the Business expects its capacity to become available. It does not, by itself, cause a listing to expire.

The Business publishing the Capacity Listing is responsible for ensuring that its information is accurate and current.

10. Matching

WorkCircuit may identify potentially compatible Work Opportunities and Capacity Listings using information supplied by Businesses.

Matching may consider relevant information including:

  • services;
  • service areas;
  • availability;
  • crew;
  • equipment;
  • licences or accreditations;
  • insurance requirements;
  • industries;
  • frequency; and
  • engagement type.

Matching is listing-level compatibility assistance.

A match does not mean that WorkCircuit considers the Businesses suitable for one another in every respect.

A match does not guarantee that work will be offered, accepted, completed or paid for.

WorkCircuit does not represent that a match is a certification, endorsement, recommendation or guarantee.

WorkCircuit does not use artificial match scores to represent certainty of commercial suitability.

11. Connections and messaging

A Business may request a Connection with another Business.

The receiving Business may accept or decline the request.

An accepted Connection may allow the Businesses to communicate through WorkCircuit.

Messaging access is subject to account permissions, marketplace restrictions and other applicable Platform rules.

Businesses must use messaging lawfully and appropriately.

Businesses must not use WorkCircuit messaging for harassment, threats, fraud, spam, unlawful conduct, deceptive activity or other prohibited conduct.

Contact information supplied privately to WorkCircuit does not automatically become publicly available through a Connection.

12. Business Passport and Verification Status

The Business Passport may display information supplied by a Business and any verification-related status actually provided or recorded through an available WorkCircuit process.

Businesses must not represent information as verified merely because they have entered or uploaded it.

For example:

  • an ABN supplied by a Business is not necessarily an ABN verified by WorkCircuit;
  • an insurance document supplied to WorkCircuit is not necessarily insurance verified by WorkCircuit;
  • a licence supplied by a Business is not necessarily verified by WorkCircuit; and
  • a Business Profile is not itself a WorkCircuit certification.

Where a verification-related status is actually provided or recorded through an available WorkCircuit process, users should consider the scope and nature of that status rather than treating it as a blanket endorsement of the Business.

Verification of one item does not mean that other information supplied by the Business has been verified.

WorkCircuit may introduce additional verification processes in the future. A future process will not be treated as existing merely because these Terms refer to verification generally.

12A. Engagements and completion

Following an accepted Connection, Businesses may agree to undertake work together.

WorkCircuit may allow Businesses to record an Engagement reflecting agreed work.

An Engagement may move through stages including:

  • Connected;
  • Work agreed;
  • Work in progress;
  • Completion requested;
  • Completion confirmed; or
  • Cancelled.

An accepted Connection does not mean that the Businesses have agreed to undertake work.

Recording an Engagement does not make WorkCircuit a party to the Businesses’ commercial agreement.

A Business may request completion confirmation after work is represented as completed.

The other Business may confirm or indicate that completion has not occurred.

A Business must not falsely represent that another Business has confirmed completion.

WorkCircuit may restrict access to Review functionality until the applicable completion requirements have been satisfied.

12B. Reviews and reputation

WorkCircuit may allow eligible Businesses to review one another following a qualifying completed Engagement.

A Review may only be submitted where the applicable WorkCircuit requirements have been satisfied, including that:

  • the Businesses were parties to the relevant Engagement;
  • the Engagement was genuinely created through the applicable WorkCircuit process;
  • the required completion confirmation has occurred; and
  • the Review relates to that Engagement.

Reviews may contain structured ratings and optional written feedback.

Depending on the Business’s role in the Engagement, Review categories may include matters such as:

For a Business performing work:

  • quality of work;
  • reliability;
  • communication;
  • professionalism; and
  • whether the reviewer would work with the Business again.

For a Business providing work:

  • communication;
  • clarity of scope and instructions;
  • professionalism;
  • reliability;
  • payment experience where applicable; and
  • whether the reviewer would work with the Business again.

Reviews represent the reviewer’s opinion and experience.

A Review is not a WorkCircuit certification, guarantee, investigation or finding that the reviewer’s statements are objectively established facts.

WorkCircuit may moderate or remove Reviews in accordance with the Marketplace Rules.

A Business may report a Review it believes breaches the Marketplace Rules.

WorkCircuit may update reputation information where a Review is removed or otherwise becomes unavailable.

WorkCircuit does not guarantee that Reviews are accurate, complete or representative of every experience involving a Business.

Businesses must not create fake Reviews, manipulate Reviews, pressure another Business to provide a particular rating, submit duplicate Reviews or otherwise interfere with the integrity of the Review system.

13. User Content

Users may submit User Content to WorkCircuit.

User Content may include:

  • Business Profile information;
  • listing information;
  • photographs;
  • logos;
  • messages;
  • Reviews;
  • reports;
  • appeal information;
  • documents and evidence supplied for applicable WorkCircuit processes; and
  • other material submitted through the Platform.

You remain responsible for User Content you submit.

You must have the rights and authority necessary to submit the User Content and permit WorkCircuit to use it as contemplated by these Terms.

You must not submit content that:

  • is unlawful;
  • is materially misleading or fraudulent;
  • infringes another person’s rights;
  • contains malicious code;
  • exposes another person’s private information without authority;
  • impersonates another person or Business;
  • is abusive, threatening or harassing;
  • is intended to manipulate Reviews or marketplace activity; or
  • otherwise breaches the Marketplace Rules.

14. Photographs, logos and third-party material

Businesses may upload Business logos and listing photographs where those features are available.

A Business must ensure it has the necessary rights to upload and display those materials.

Public business media may be displayed as part of the marketplace, including on Business Profiles, listings and related marketplace pages.

Businesses must not upload personal photographs or third-party material without appropriate rights or authority.

Where a Business removes media it has uploaded, WorkCircuit may remove the associated stored file where supported by the Platform.

WorkCircuit may use uploaded public media only for operating, displaying, maintaining and improving the WorkCircuit Service and as otherwise permitted by these Terms and the Privacy Policy.

15. Prohibited conduct

You must not use WorkCircuit to:

1. create a fake or deceptive Business Profile; 2. impersonate another person or Business; 3. provide knowingly false or materially misleading business information; 4. falsely claim that information has been verified by WorkCircuit; 5. upload fake or invalid credentials or evidence; 6. manipulate Reviews, reputation or marketplace activity; 7. submit duplicate or deceptive listings; 8. misuse another Business’s private information; 9. harass, threaten, intimidate or abuse another person; 10. use WorkCircuit to facilitate unlawful activity; 11. send spam or inappropriate unsolicited commercial messages; 12. scrape, harvest or systematically collect marketplace information without permission; 13. interfere with Platform security; 14. attempt to bypass access controls or restrictions; 15. introduce malware or malicious code; 16. create accounts to evade restrictions or suspension; 17. use another person’s account without authority; 18. falsely claim that WorkCircuit endorses, certifies or guarantees a Business; 19. misuse WorkCircuit’s reporting, appeal or moderation systems; or 20. otherwise breach these Terms or the Marketplace Rules.

Legitimate business communication through the Platform is not prohibited merely because it is commercial communication.

16. Reporting Content or Businesses

WorkCircuit provides reporting mechanisms for marketplace concerns.

Users may report matters including:

  • Businesses;
  • Work Opportunities;
  • Capacity Listings;
  • Reviews;
  • messages;
  • suspected fraud or misleading information;
  • suspected fake or invalid evidence;
  • harassment or threats;
  • spam or platform misuse;
  • review manipulation;
  • safety concerns; or
  • other Marketplace Rule concerns.

A report is an allegation or concern. A report is not, by itself, proof that a person or Business has breached the rules.

Submitting a report does not automatically result in a warning, restriction, suspension or termination.

WorkCircuit may request further information or evidence where appropriate.

Private commercial disagreements, including ordinary disputes about scope, price, quality, payment or contractual performance, remain primarily matters between the Businesses involved unless they also involve conduct relevant to WorkCircuit’s Marketplace Rules.

17. Moderation

WorkCircuit may review reports and marketplace concerns to determine whether Platform rules may have been breached.

Depending on the circumstances, WorkCircuit may take actions including:

  • no action;
  • warning;
  • correction required;
  • feature restriction;
  • temporary restriction;
  • temporary suspension; or
  • permanent account termination.

Restrictions may apply to particular functionality, including:

  • creating listings;
  • publishing listings;
  • sending Connection requests;
  • accepting new WorkCircuit work;
  • sending new messages; or
  • other specified Platform functions.

WorkCircuit may consider factors including the nature of the concern, available evidence, previous relevant conduct, repetition, potential harm and whether immediate action is reasonably necessary.

A negative Review, low rating or ordinary commercial disagreement does not automatically result in punishment.

WorkCircuit does not act as a court or commercial dispute tribunal and does not determine contractual liability between Businesses merely because a dispute is reported.

Internal moderation records may include reports, descriptions, evidence, decisions, restrictions, appeal information and administrative notes.

18. Suspension of Accounts

WorkCircuit may temporarily restrict or suspend an Account where reasonably necessary to protect the Platform, users or the integrity of marketplace operations.

Temporary restrictions may have specified durations, including:

  • 24 hours;
  • 3 days;
  • 7 days;
  • 14 days;
  • 30 days; or
  • another period reasonably specified in the circumstances.

A temporary restriction should cease when its specified period ends unless another lawful restriction applies.

In serious circumstances, WorkCircuit may apply an immediate temporary suspension while a matter is reviewed.

Where appropriate, the affected Business will be informed of the relevant reason, restriction and available review or appeal process.

19. Termination

A user may stop using WorkCircuit at any time, subject to any obligations that continue after account closure.

WorkCircuit may terminate an Account where reasonably necessary, including in circumstances involving:

  • serious or repeated breaches of these Terms or the Marketplace Rules;
  • fraud or deliberate deception;
  • serious misuse of the Platform;
  • serious threats, abuse or safety concerns;
  • deliberate Review manipulation;
  • serious security abuse;
  • persistent evasion of restrictions or suspension; or
  • other circumstances where continued access is not reasonably appropriate.

Where reasonably practicable, WorkCircuit may provide notice and an opportunity to respond before termination.

Immediate action may be taken where reasonably necessary to protect users, the Platform, security or legal interests.

Termination does not determine or extinguish separate contractual rights or obligations between Businesses.

Sections which by their nature should continue after termination may continue, including provisions concerning intellectual property, privacy, liability, disputes, User Content and outstanding obligations.

20. Account security

You are responsible for maintaining the security of your Account credentials and for activity undertaken through your Account, except to the extent caused by circumstances for which you are not legally responsible.

You must not share your Account credentials with another person where doing so would compromise account security or violate these Terms.

You should notify WorkCircuit promptly if you believe your Account has been accessed without authority.

WorkCircuit may require additional security measures where reasonably necessary.

21. Accuracy of information

You must take reasonable care to ensure information you provide to WorkCircuit is accurate, current and not materially misleading.

You should update information when it materially changes.

This includes information concerning:

  • business identity;
  • services;
  • location;
  • availability;
  • crew;
  • equipment;
  • licences;
  • accreditations;
  • insurance;
  • contact information;
  • listings; and
  • other material Business Profile information.

WorkCircuit does not guarantee that information supplied by users remains accurate after submission.

22. Commercial arrangements between Businesses

Businesses are solely responsible for negotiating and performing their commercial arrangements.

This includes responsibility for:

  • pricing;
  • invoices;
  • payment;
  • taxes;
  • scope;
  • variations;
  • work quality;
  • delays;
  • cancellations;
  • warranties;
  • insurance;
  • licences;
  • employment obligations;
  • workplace health and safety;
  • subcontracting;
  • disputes; and
  • other contractual matters.

WorkCircuit does not receive or hold payments between Businesses through the current beta Service.

WorkCircuit does not guarantee payment by one Business to another.

WorkCircuit is not responsible for losses arising from a Business’s commercial decision to work with another Business.

23. No guarantee of commercial outcome

WorkCircuit does not guarantee:

  • that a Business will receive work;
  • that a Business will find suitable capacity;
  • that a Connection will lead to an Engagement;
  • that an Engagement will be completed;
  • that a Business will be paid;
  • that information supplied by another Business is accurate;
  • that a Business will meet its obligations;
  • that a Review accurately reflects every aspect of a Business; or
  • that use of WorkCircuit will produce any particular financial or commercial result.

Businesses remain responsible for deciding whether to proceed with another Business.

24. No agency, partnership or employment relationship

Use of WorkCircuit does not create:

  • an employment relationship;
  • agency;
  • partnership;
  • joint venture;
  • franchise;
  • fiduciary relationship; or
  • other relationship between WorkCircuit and a Business

unless a separate written agreement expressly provides otherwise.

WorkCircuit does not control how a Business performs its work.

Businesses are responsible for their own workers, contractors, subcontractors, equipment, safety arrangements and legal obligations.

25. Compliance with laws

Users must comply with laws applicable to their use of WorkCircuit and their business activities.

This may include laws concerning:

  • business registration;
  • taxation;
  • employment;
  • workplace health and safety;
  • licences;
  • permits;
  • insurance;
  • privacy;
  • consumer protection;
  • discrimination;
  • intellectual property; and
  • other applicable commercial or regulatory requirements.

WorkCircuit does not determine whether a Business has complied with every law applicable to that Business.

26. Privacy

WorkCircuit handles personal information in accordance with the WorkCircuit Privacy Policy and applicable privacy laws.

The Privacy Policy explains how WorkCircuit collects, holds, uses and discloses personal information.

WorkCircuit may handle information associated with:

  • Accounts;
  • Business Profiles;
  • listings;
  • Connections;
  • messages;
  • Engagements;
  • completion records;
  • Reviews;
  • reputation;
  • reports;
  • moderation;
  • appeals;
  • uploaded media;
  • private business evidence; and
  • technical operation of the Platform.

The Privacy Policy should be read together with these Terms.

27. Intellectual property in WorkCircuit

WorkCircuit and its licensors retain rights in the Platform, including its software, design, branding, text, structure and other original material, except for User Content and third-party material.

You must not copy, reproduce, modify, reverse engineer, commercially exploit or otherwise misuse WorkCircuit intellectual property except as permitted by law or with permission.

Nothing in these Terms transfers ownership of WorkCircuit intellectual property to a user.

28. Platform availability

WorkCircuit is provided on a controlled beta basis.

The Platform may occasionally be unavailable, interrupted, modified or subject to maintenance.

WorkCircuit does not guarantee continuous or error-free availability.

WorkCircuit may modify, suspend or discontinue features where reasonably necessary for development, maintenance, security, legal requirements or other legitimate operational reasons.

Where reasonably practicable, WorkCircuit may provide notice of material changes or planned interruptions.

29. Beta status

WorkCircuit is currently a controlled beta service.

Beta functionality may change as the Platform is tested and developed.

Some features may be incomplete, limited or unavailable.

Beta users should not rely on WorkCircuit as their sole source of information about a Business, opportunity, capacity, licence, insurance, credential or commercial arrangement.

WorkCircuit may use beta feedback to improve the Platform.

30. Third-party services

WorkCircuit may rely on third-party infrastructure and service providers to operate parts of the Platform.

These may include services for hosting, authentication, databases, storage, security and related technical functionality.

Third-party services may be subject to their own terms and privacy policies.

WorkCircuit will not represent a third-party service as being controlled by WorkCircuit where it is not.

The WorkCircuit Privacy Policy contains further information about relevant third-party service providers and data handling.

WorkCircuit does not currently provide payment processing, escrow, SMS or push notification services through the beta.

31. Disclaimers

To the maximum extent permitted by law, WorkCircuit provides the Platform on an “as available” basis during the beta period.

WorkCircuit does not warrant that:

  • the Platform will always be available;
  • information supplied by another Business is accurate;
  • every listing is suitable for a particular Business;
  • every match is commercially appropriate;
  • a Business is trustworthy or suitable;
  • a Review is objectively accurate;
  • a Business will perform work as represented;
  • a Business will pay another Business; or
  • use of WorkCircuit will produce a particular outcome.

Nothing in these Terms excludes, restricts or modifies a right or remedy that cannot lawfully be excluded, restricted or modified.

32. Australian Consumer Law and non-excludable rights

Nothing in these Terms is intended to exclude, restrict or modify any consumer guarantee, statutory right, remedy or other protection that cannot lawfully be excluded, restricted or modified.

Where the Australian Consumer Law or another mandatory law applies to your use of WorkCircuit, these Terms operate subject to that law.

To the extent permitted by law, provisions of these Terms that are intended to allocate responsibility or limit liability will apply only to the extent legally permitted.

33. Liability

To the maximum extent permitted by law, WorkCircuit is not liable for loss arising from:

  • a Business’s dealings with another Business;
  • a Business’s decision to accept or reject an opportunity;
  • work performed or not performed by another Business;
  • payment disputes between Businesses;
  • inaccurate information supplied by a Business;
  • failure of another Business to comply with its obligations;
  • loss caused by a user’s misuse of the Platform;
  • matters outside WorkCircuit’s reasonable control; or
  • temporary Platform unavailability.

Nothing in these Terms excludes liability that cannot lawfully be excluded.

Where liability can lawfully be limited, any limitation will be applied only to the extent permitted by law and in a manner intended to be reasonable in the circumstances.

34. User responsibility and indemnity

To the extent permitted by law, you are responsible for losses, claims, liabilities and reasonable costs arising directly from your unlawful conduct, fraud, wilful misconduct or material breach of these Terms.

This does not require you to indemnify WorkCircuit for loss caused by WorkCircuit’s own unlawful conduct or to the extent the liability cannot lawfully be transferred to you.

Nothing in this section requires you to compensate WorkCircuit for a liability that the law does not permit WorkCircuit to pass on.

35. Changes to these Terms

WorkCircuit may update these Terms from time to time.

Where a change is material, WorkCircuit will take reasonable steps to bring the change to users’ attention before or when the updated Terms take effect, where practicable.

The updated version will identify its effective date and version.

Your continued use of WorkCircuit after updated Terms take effect may constitute acceptance where permitted by law.

Where a change requires express acceptance, WorkCircuit may require you to accept the updated Terms before continuing to use relevant functionality.

WorkCircuit will retain records of accepted Terms versions where technically supported.

36. Electronic acceptance and records

WorkCircuit may record:

  • the Account accepting the Terms;
  • the Terms version accepted;
  • the date and time of acceptance; and
  • other information reasonably necessary to maintain an electronic acceptance record.

Electronic acceptance may be used as evidence of agreement to the applicable Terms.

You are responsible for ensuring that the person accepting these Terms on behalf of a Business has authority to do so.

37. Complaints

If you have a complaint about WorkCircuit, you should first contact WorkCircuit using the contact details provided in these Terms.

Where appropriate, WorkCircuit may request further information to investigate the complaint.

WorkCircuit will consider complaints reasonably and in accordance with applicable law.

Complaints about another Business’s contractual performance should generally be addressed to that Business unless the matter also concerns conduct relevant to WorkCircuit’s Marketplace Rules.

38. Disputes between Businesses

WorkCircuit is not a party to commercial agreements between Businesses merely because those Businesses met or communicated through WorkCircuit.

Businesses are responsible for resolving their own commercial disputes.

This includes disputes concerning:

  • price;
  • invoices;
  • payment;
  • scope;
  • workmanship;
  • delays;
  • cancellations;
  • variations;
  • contracts;
  • warranties;
  • losses; and
  • commercial performance.

WorkCircuit may nevertheless act where a dispute also involves conduct relevant to the Marketplace Rules, such as fraud, threats, harassment, fake evidence, review manipulation, security abuse or misuse of the Platform.

WorkCircuit does not guarantee a commercial dispute outcome and does not undertake to compensate a Business for commercial losses arising from another Business.

39. Governing law and jurisdiction

These Terms are governed by the laws of Queensland, Australia.

Subject to any mandatory rights or remedies available under applicable law, disputes concerning these Terms or WorkCircuit itself are subject to the courts and tribunals having jurisdiction in Queensland.

Nothing in this section limits any mandatory jurisdictional rights a user may have under applicable law.

40. Severability

If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision will be read down or severed to the extent necessary.

The remaining provisions will continue to operate to the extent permitted by law.

41. No waiver

A failure or delay by WorkCircuit to exercise a right under these Terms does not constitute a waiver of that right.

A waiver must be express to be effective.

42. Entire agreement

These Terms, together with the WorkCircuit Privacy Policy and Marketplace Rules, constitute the agreement governing your use of WorkCircuit, subject to any separate agreement that may apply to a particular service or feature.

These documents do not replace or become part of a separate commercial contract between Businesses unless the Businesses expressly agree otherwise.

The Terms do not represent that WorkCircuit currently provides features that have not been implemented, including live ABN/ABR verification, identity verification, automatic licence or insurance verification, payment processing, escrow, subscriptions, commissions, SMS or push notifications.
